Frequently asked questions
What people ask before they start. If your question isn't here, write to us and we'll add it.
Formation
How long does it take to open a company in Romania?
Between 3 and 7 working days from signing, depending on the registry's workload. The part that depends on you — data, activity codes, signature — takes minutes, not days. What stretches the timeline is almost always the same: badly chosen codes or incomplete office paperwork.
What does it cost?
Four packages. Start €399: the formation, if you already have an office. Business €699, the one most people take: plus a registered office for 12 months with its paperwork, a tax ID for non-residents, the tax regime, VAT, e-Factura and a 30-minute call with the accountant. Premium €999: plus a lawyer on your file, a contract review and 3 months of support. Foreign Investor, from €1,490, quoted case by case, for corporate partners, apostilles and intra-community trade. Registry duties are included in all of them. Accounting is separate: €99, €149 or €249 a month.
Which documents do I need?
Two, as a rule: an identity document for each person involved and the title to the space where you set the registered office — a land registry extract, deed, lease or loan-for-use agreement. If you pick an address from our list, we generate the hosting contract.
Can I open a company without being a Romanian resident?
Yes. You can be a shareholder and director without residency: an ID card or passport is enough. You don't need to travel either — the file is submitted electronically.
Signing and filing
Do I need an electronic signature?
No. Our lawyer files the company under a power of attorney we draft for you. You sign the power of attorney; the electronic signature is the lawyer's job.
What is the power of attorney and what does it cost?
It is the document that lets us sign and file on your behalf, strictly for the registration. It gives us no rights over the company once it is registered. It costs nothing extra: it is part of the formation service.
Activity and office
How many activity codes can I choose?
One primary code and up to eight secondary ones, from the complete Rev. 3 list. Mind revision 3: many codes were renumbered — custom software is 6210, not 6201. You can change them later with a registry amendment.
I have nowhere for the registered office. What now?
Pick one of our addresses right in the form, for €130 a year; the hosting contract is generated automatically and filed with the rest. Hosting covers establishing the office and receiving mail, not carrying out activity at that address.
How do I check whether a name is available?
Type it into the form and we search it on the spot across the two million-plus active companies in the ONRC open data: we tell you whether it is free, taken or too similar to another, and suggest names that aren't. It is an indicative check: only the registry reservation confirms availability.
After registration
What tax does the company pay?
There are two regimes. Micro-company: you pay 1% on turnover whatever you spend, up to €100,000 a year, with a single condition — a director's mandate contract or an employment contract for someone else, paying at least the gross minimum wage, that is 4,325 lei. Otherwise the 16% profit tax applies, on the difference between income and expenses, with no conditions.
What happens after I get the tax code?
The company bank account (you open it yourself, online, for example with Revolut Business), access to the tax authority's SPV portal, the control register and, if you trade inside the EU, an intra-EU VAT number. From then on the ongoing duties begin: e-Factura, periodic filings and monthly accounting.
