Registered office hosting rules

Updated 9 September 2026

These rules supplement the hosting agreement signed for the registered office and apply to every company hosted at an address in the Redicode Labs S.R.L. network.

1. What hosting is

Hosting gives you the right to establish your company's registered office at one of the addresses offered through the platform, for the term of the agreement. You receive the signed hosting agreement, which goes into the file lodged with the Trade Registry.

It is not a lease of space: you get no keys, no desk and no right of access. It is a legal address, with everything that follows from it.

2. The rule that matters most: no activity at the address

No activity is carried on at the registered office address. All authorised activity codes are declared as carried on „at third parties” or at working points, and in the declaration on operating conditions (Annex 4) the registered office section is filled in with „fără activitate” — no activity.

This is not a formality: you sign that declaration on your own responsibility. If you need somewhere to work you need a working point — we will help you open one, but that is a separate filing.

3. Who can be hosted

The service is for companies formed through the platform or added to your account, with complete and verified data. We may refuse or end hosting for companies in insolvency, with an office declared fictitious, or using the address for a purpose other than the agreed one.

4. Term and renewal

The agreement runs for 12 months and cannot be terminated unilaterally. In the Business package and above the first year is included in the formation price; from the second year renewal costs 130 € a year.

We write to you before expiry. If you neither renew nor move the office elsewhere, the company is left with its office at an address for which no agreement exists — the situation that leads to a fictitious-office declaration, and the consequences fall on the company. That is why we insist with reminders, and why the period during which the address continues to be used remains payable.

5. Mail

Post received at the address is forwarded to you by e-mail, scanned, within ten working days of receipt. Originals may be collected at the address or, on request and at your expense, sent by courier.

We do not open envelopes not addressed to your company, and we are not liable for post lost by the postal service before it reaches us.

6. Payment

The price is paid in full at the start of the contractual period. Prices are shown in euro; payment in lei is made at the exchange rate of the invoice date.

Failure to pay on time entitles us to suspend the service and, after notice, to terminate the agreement and inform the Trade Registry.

7. Termination

The agreement ends on expiry of the term, by agreement of the parties, or by termination for breach. On termination you must complete the formalities to change the registered office with the Trade Registry.

We in turn have the right to notify the Trade Registry that the agreement has ended.

8. Liability

We are not liable for the acts and omissions of your company, for its tax or commercial obligations, or for the consequences of an inaccurate declaration made by you. Our liability is limited to providing the hosting service described here.

9. Personal data

Data connected with hosting is processed in accordance with our privacy policy.

10. Changes

We may amend these rules; the version applying to your agreement is the one in force when it was concluded. We tell you about significant changes by e-mail or in the platform.
