Terms and conditions
This document governs the relationship between Start4 S.R.L. and anyone using the start4.ro platform. By creating an account you accept the terms below.
1. Who we are
The start4.ro platform is operated by Start4 S.R.L., registered office at [indirizzo della sede legale], trade registry number [numero di registro J../..../....], tax code [CUI / codice fiscale]. You can reach us at any time at contact@start4.ro.
2. What we do and what we don't
Through the platform we prepare the documentation needed to form a company, file it with the trade registry and, if you choose those services, keep your company's accounts and provide a registered office.
We are neither a court nor the registry: the decision to register rests solely with the trade registry. We prepare a correct and complete file, but we cannot guarantee an outcome that is not ours to give. Likewise, the general information in the platform, the guides and the conversational assistant is not personalised legal or tax advice.
3. Your account
You need an account to use the platform. The data you enter must be true, complete and current: official documents are drawn up from it, and a wrong detail means a rejected file.
You are responsible for keeping your password safe and for what happens in your account. If you suspect unauthorised access, tell us immediately.
4. Your obligations
You send us the required documents on time, sign electronically what must be signed, and tell us of any change affecting the company — office, shareholders, activity, employees.
Electronic filing requires a qualified digital certificate. If you don't have one we guide you to obtain it, but the certificate contract is between you and its provider.
5. The registered office
If you pick an address from our list, a fixed-term hosting contract is concluded, normally for one year, at the price shown in the platform (€120 a year at the date of this document).
Hosting covers only the establishment of the registered office and receipt of correspondence. It does not include carrying out activity at that address. The contract must be renewed on expiry: a lapsed office puts the company out of order at the registry, and renewal remains your responsibility even though we send reminders.
6. Accounting
Accounting is provided on a monthly subscription, in the plan you select. The plan sets the document volume, employee count and VAT status covered; exceeding those limits is charged separately, after we tell you.
The month's documents must reach us by the deadline shown in the platform. We cannot answer for penalties arising from documents received late or from incorrect information you supply.
7. Prices and payment
Prices are those shown in the platform when you order. Official registry and authority duties are not our fee and are paid separately, in the amount those authorities set.
Formation services are paid in advance. Subscriptions are invoiced monthly or annually, in advance. Non-payment entitles us to suspend the service after prior notice.
8. Right of withdrawal
If you are a consumer you may withdraw within 14 days, without giving a reason. If you expressly asked for performance to begin before that period expired and the service has been fully performed, the right of withdrawal lapses; if it was partly performed, you owe the value of what was performed up to withdrawal.
Duties already paid to the registry or other authorities are not refundable, because we do not receive them.
9. Termination and suspension
You may cancel a subscription at any time, effective at the end of the paid period. We may suspend or close an account used for unlawful activity, with false data, or in case of repeated non-payment.
On termination we make your documents available to you in a common format for 30 days.
10. Liability
We are liable for performing the services with professional diligence. We are not liable for indirect damages, lost profit or lost opportunity, nor for the consequences of incorrect data you supplied or of decisions by the authorities.
To the extent permitted by law, our total liability does not exceed what you paid us in the preceding 12 months for the service concerned.
11. Intellectual property
The platform, texts, guides and graphic elements are ours. The documents generated for your company are yours. You may not copy or resell the platform without our written consent.
12. Personal data
Data processing is described in the Privacy policy, which forms an integral part of these terms.
13. Changes
We may amend these terms. We will give you at least 15 days' notice by e-mail or in the platform. If you disagree, you may terminate before the change takes effect.
14. Governing law
The contract is governed by Romanian law. Disputes are settled amicably; failing agreement, the courts at our registered office have jurisdiction, save that consumers may also apply to the courts of their domicile and to the European ODR platform.
